Terms of Service
Plain-English broker engagement terms. Mike is not your employer of record, lawyer, or accountant — read this first.
1. Scope of engagement
When you commission a service through chinaonramp, you engage:
- chinaonramp for brokerage — vetting, sequencing, holding the timeline, replacement if a partner stalls.
- A named Chinese partner firm for the licensed execution work — AIC filings, ICP submissions, CNIPA filings, etc.
Each engagement is documented in a per-filing service agreement that lists the partner firm by name.
2. Fees
Every fee on this site is quoted in USD and (where applicable) RMB. There is no retainer. You pay only for filings you commission. The brokerage fee and the partner-firm fee are itemized separately on every quote.
3. No employment-of-record claim
chinaonramp is not an EOR or PEO. When you hire mainland staff under a WFOE we help register, the WFOE is the legal employer. If you need EOR coverage before your WFOE is registered, we can broker that through a partner EOR — clearly marked as such on the engagement letter.
4. Intellectual property
You own everything you bring to us (brand names, trademarks, content, source code). Any deliverable we produce specifically for you (filed documents, customized checklists) is yours on payment. Our existing intellectual property (this site, content, methodologies, tools) remains ours.
5. Confidentiality
Information you share for the purpose of brokering an engagement is treated as confidential. We do not share names, financials, or filings with third parties beyond the named partner firm executing your work, except where required by law.
6. Liability
Brokerage liability is capped at the brokerage fee paid for the affected engagement. Partner-firm liability is governed by the partner firm's engagement letter directly with you.
7. Termination
Either party may terminate any engagement with reasonable notice. Fees for work already performed are not refundable, but unused pre-paid retainers (we don't take them, but if we ever did) would be refunded within 14 days.
8. Governing law
For the chinaonramp brokerage relationship: New Zealand law applies. For partner-firm engagement: governed by the partner's contract.
9. Updates to these terms
We may update these terms. Material changes are flagged at the top of this page for 30 days.
